1. Acceptance of Terms

By accessing, creating an account, or using the services provided by Kevo Pty Ltd ("Kevo", "we", "us", or "our"), including our website, mobile applications, and API (collectively, the "Platform"), you agree to comply with and be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use or access the Platform.

2. Description of Services

Kevo operates an end-to-end event management and ticketing platform. Our services include, but are not limited to, event creation, dynamic ticket generation, digital sales processing, attendee management, on-site QR code check-in, marketing analytics, and exhibitor lead capture.

Kevo acts purely as an intermediary facilitating the creation and management of events. We are not the creator, organizer, or owner of the events listed on our platform, and the respective Event Organizers are solely responsible for ensuring that their events comply with all applicable local, state, and national laws.

3. Eligibility and User Accounts

  • Age Requirement: You must be at least 18 years of age or the age of legal majority in your jurisdiction to create an organizer account.
  • Account Security: You are strictly responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately upon suspecting any unauthorized breach.
  • Accurate Information: You agree to provide current, accurate, and complete information during the registration process and to update such information to keep it accurate.

4. Event Organizers: Obligations and Payouts

If you create and host events using Kevo, you are an "Organizer". As an Organizer, you agree to the following:

  • Event Accuracy: You alone are responsible for the accuracy of your event listings, timing, venue safety, and fulfillment of the advertised event.
  • Stripe Integration: Kevo utilizes Stripe Connect for payment processing. Payouts from ticket sales are processed directly to your linked Stripe account. You are bound by the Stripe Connected Account Agreement.
  • Service Fees: Kevo charges a platform service fee on paid ticket sales, as detailed on our pricing page or your specific organizer agreement. These fees are non-refundable.
  • Compliance: You will not use the platform to organize illegal, highly restricted, or physically dangerous events without proper licensing and clearance.

5. Ticket Buyers: Purchases, Refunds, and Entry

If you purchase or register for a ticket, you are a "Buyer" or "Attendee":

  • All Sales Final: Due to the nature of live events, all ticket sales are generally final. Kevo does not control the refund policies of individual organizers.
  • Refund Requests: Any requests for refunds must be directed to the Event Organizer. Kevo will only process refunds if directly instructed by the Organizer or if an event is comprehensively cancelled.
  • Transferability: Tickets are strictly non-transferable unless the Organizer explicitly allows and configures ticket transfers through the Kevo platform.
  • Fraud: Any attempt to forge, duplicate, or fraudulently purchase tickets will result in immediate ticket cancellation and account termination.

6. Prohibited Conduct

To ensure a safe environment for all our users, you agree not to engage in any of the following restricted activities:

  • Using the Platform for any unlawful purpose, or to promote illegal activities.
  • Attempting to bypass, reverse engineer, or compromise the integrity and security of the Platform's infrastructure.
  • Deploying automated scripts, spiders, or scrapers to extract data, event listings, or user information.
  • Creating events that are deceptive, fake, or designed to defraud attendees.
  • Engaging in unauthorized ticket scalping or reselling at inflated prices in violation of local consumer laws.
  • Transmitting malware, viruses, or any other destructive code.

7. Intellectual Property Rights

Kevo's IP: The Platform, including its underlying software, algorithms, branding, logos, and UI/UX design, are the exclusive property of Kevo Pty Ltd and are protected by international copyright and trademark laws. You may not copy, reproduce, or modify our code without explicit written consent.

Your IP: You retain ownership of the content you upload (such as event descriptions and promotional images). By uploading this content, you grant Kevo a worldwide, non-exclusive, royalty-free license to display, reproduce, and distribute the content solely for the purpose of operating and promoting the Platform.

8. Disclaimers and Limitations of Liability

"As Is" Basis:Kevo provides the Platform on an "as is" and "as available" basis, without any warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose.

Limitation of Liability: To the maximum extent permitted by applicable law, in no event shall Kevo Pty Ltd, its directors, or its employees be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of your use of or inability to use the Platform. Our total aggregate liability for any claims under these terms shall not exceed the total fees you paid to Kevo in the twelve (12) months preceding the claim.

9. Indemnification

You agree to defend, indemnify, and hold harmless Kevo Pty Ltd from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from: (i) your use of and access to the Platform; (ii) your violation of these Terms; (iii) your violation of any third-party right, including without limitation any copyright or privacy right; or (iv) any claim that your event or content caused damage to a third party.

10. Modifications to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Platform after those revisions become effective, you agree to be bound by the revised terms.

11. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of the State of Victoria, Australia, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Melbourne, Victoria, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.
